This agreement covers multiple platforms and billing methods. Your specific platform and purchase channel determine which billing terms apply. This document does not constitute legal advice; consult a qualified attorney if your business model requires it.
1.1 欢迎使用闪念-AI语音笔记（Idea-AI Voice Note，以下简称"本应用"或"我们"）。开发者北城（NorthCity）依据中华人民共和国法律以个人/个体经营者身份运营本服务，营业地址位于中华人民共和国上海市。
1.2 本服务条款（以下简称"本协议"）规范您对本应用的访问和使用。本应用为基于 AI 技术的语音笔记服务，可通过 iOS、iPadOS、watchOS、macOS、Android 及 Web 等平台访问（以下简称"服务"）。
1.3 建立账户、订阅方案、购买积分或以其他方式使用本服务，即表示您：(a) 已年满 18 周岁（或您所在司法管辖区的成年年龄）；(b) 已阅读、理解并同意受本协议约束；(c) 同意我们的隐私政策；以及 (d) 有权代表自身或所属机构签署本协议。
⚠️ 重要提示：如不同意本协议，请停止使用本服务。协议更新后继续使用即表示接受修订后的条款。
2.1 我们提供的服务。本应用提供以 AI 技术为核心的语音笔记平台，让用户能够通过语音输入快速记录灵感，并利用 AI 进行自动转写、智能整理和分析。本服务为通过互联网提供的数字软件即服务（SaaS）产品。
2.2 服务性质。本服务为数字无形产品，付款确认后即时开通服务访问权限。由于数字服务的即时交付性质，退款适用特定限制，详见第 7 条。
2.3 AI 模型依赖。本服务使用第三方 AI 模型提供商，包括字节跳动（豆包 AI）、OpenAI L.L.C. 及阿里云（通义千问）。本服务的性能和可用性可能受这些提供商运营状态的影响。重大中断将及时通知用户。
3.1 账号创建。使用本服务可能需要创建账户。您有责任确保所提供信息的准确性，并保守登录凭据的保密性，对账户下的所有操作负责。
3.2 账号安全。如发现未经授权使用，请立即联系 506343891@qq.com。请确保您的账户关联邮箱持续有效。
3.3 企业账号。如代表公司或组织注册，您声明已获授权代表该实体签署本协议。
4.1 我们提供自动续期订阅方案以访问本服务的付费功能。当前方案详情和定价请参阅应用内的定价页面。各平台具体定价可能因平台政策而有所不同。
4.2 平台购买渠道。您可通过以下平台渠道订阅付费功能：

您在通过 Google Play 商店订阅付费方案时，即明确授权 Google 按所选周期向您的 Google 账户绑定的支付方式扣收对应订阅费用。该周期授权持续有效，直至您依据第 6 条取消。
您在本服务官方网站通过 Waffo Pancake（pancake.waffo.ai）提供的支付方式订阅时，即明确授权我们（或我们的支付处理商）按所选周期向您提供的支付方式扣收对应订阅费用。该周期授权持续有效，直至您依据第 6 条取消。
如订阅价格发生变更，我们将提前通过应用内通知或邮件告知您。继续使用即表示接受新价格。
除非另有说明，所列价格均含适用税费（如增值税、GST、销售税等）。各平台商户将依法代为收取并代缴相关税费。
您可随时取消自动续费。根据您的购买渠道，取消方式如下：
取消立即生效。取消后系统将发送确认通知。
订阅在当前计费周期到期前保持有效。后续计费周期不会再被扣款。账户数据将在取消后保留 90 天，随后依据隐私政策删除。
由于我们的数字服务具有即时交付的无形性质，订阅费用原则上不予退款，但以下情形除外。
如您认为扣款存在错误，请先发邮至 506343891@qq.com，在向平台商店或银行提起交易争议前与我们联系。我们承诺在 2 个工作日内回复，并在 5 个工作日内解决确认的计费错误。
9.1 输出内容归属。在遵守本协议的前提下，由您输入生成的 AI 内容（"输出内容"）归您所有。您可将输出内容用于第 10 条允许范围内的任何合法用途。
9.2 输入内容授权。您向本服务提交内容（"输入内容"），即向北城授予有限、非独家许可，仅用于向您提供服务。未经您明确同意，我们不会将您的输入内容用于训练 AI 模型。
9.3 第三方 AI 模型依赖。本服务使用第三方 AI 模型提供商，包括字节跳动（豆包 AI）、OpenAI L.L.C. 及阿里云（通义千问）。输出内容可能受这些提供商模型的影响。我们不保证特定输出质量，不为第三方模型生成的内容承担责任。
9.4 AI 输出准确性。AI 生成的内容可能包含错误或不准确之处。您在依赖输出内容之前，有责任自行审阅和验证。
10.1 允许用途。您只能将本服务用于符合本协议的合法用途，包括个人生产力提升、学习辅助和创意记录。

12.1 免责声明。本服务以"现状"和"如可用"的方式提供，不作任何明示或隐含的保证，包括适销性、特定用途适用性或 AI 输出准确性。
12.2 AI 生成内容免责声明。⚠️ 本服务的 AI 输出可能存在不准确、不完整或已过时的情况。请勿将其用于法律、医疗、金融或其他专业建议。在基于 AI 内容采取行动前，请始终与具备相应资质的专业人员进行核实。
12.3 责任限制。在适用法律允许的最大范围内，北城不对任何间接、附带、后果性或惩罚性损害承担责任。总责任以您在索赔事件发生前 12 个月内向我们支付的金额为限。
本协议在您使用本服务期间持续有效。如您严重违反本协议、涉嫌欺诈行为或法律要求，我们可暂停或终止您的账户。如我方因非您违约原因终止服务，将按比例退还预付未使用部分。您可随时通过联系 506343891@qq.com 删除账户。
本协议受中华人民共和国法律管辖。提起正式程序前，请先发邮至 506343891@qq.com 尝试非正式解决。无法协商解决的争议，应向上海市有管辖权的人民法院提起诉讼。
我们可随时更新本协议。重大变更将在生效日前至少 14 天通过应用内通知或邮件告知。继续使用即表示接受。如任何条款被认定无效，其余条款继续完全有效。本协议与隐私政策共同构成您与北城之间的完整协议。

1.1 Welcome to Idea-AI Voice Note (the "App," "we," "us," or "our"). The developer, NorthCity, operates as an individual/sole trader under the laws of the People's Republic of China, with a business address in Shanghai, China.
1.2 These Terms of Service ("Terms") govern your access to and use of our AI-powered voice note service available on iOS, iPadOS, watchOS, macOS, Android, and Web platforms (the "Service").
1.3 By creating an account, subscribing to any plan, purchasing credits, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age (or the age of majority in your jurisdiction); (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.
⚠️ Important: If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.
2.1 The Service. The App provides an AI-powered voice note platform that enables users to quickly capture ideas via voice input, with automatic transcription, smart organization, and AI analysis. The Service is a digital SaaS product delivered over the internet.
2.2 Nature of Service. The Service is a digital intangible product. Access is granted immediately upon payment confirmation. Due to the instant delivery nature of digital services, refunds are subject to specific limitations as described in Section 7.
2.3 AI Model Dependency. The Service uses third-party AI model providers, including ByteDance (Doubao AI), OpenAI L.L.C., and Alibaba Cloud (Tongyi Qianwen). Performance and availability may be affected by these providers' operational status. Significant outages will be communicated promptly.
3.1 Account Creation. Using the Service may require creating an account. You are responsible for providing accurate information and maintaining the confidentiality of your credentials and for all activities under your account.
3.2 Account Security. Report any unauthorized use immediately to 506343891@qq.com. Ensure your account email remains valid.
3.3 Business Accounts. If registering on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
4.1 We offer auto-renewable subscription plans to access paid features. Current plan details and pricing are available in-app. Pricing may vary by platform due to platform policies.
4.2 Purchase Channels. You may subscribe through the following channels:

By subscribing through the Apple App Store, you expressly authorize Apple to charge the applicable subscription fee to your Apple ID payment method on a recurring basis. This authorization remains in effect until you cancel per Section 6. Apple sends notifications before annual subscription renewals.
By subscribing through Google Play, you expressly authorize Google to charge the applicable subscription fee to your Google account payment method on a recurring basis. This authorization remains in effect until you cancel per Section 6.
By subscribing via our official website through Waffo Pancake (pancake.waffo.ai), you expressly authorize us (or our payment processor) to charge the applicable subscription fee to your provided payment method on a recurring basis. This authorization remains in effect until you cancel per Section 6.
If the subscription price changes, we will notify you via in-app notice or email before the change takes effect. Continued use constitutes acceptance of the new price.
All prices include applicable taxes (e.g., VAT, GST, sales tax) unless otherwise stated. Platform merchants will collect and remit taxes as required by law.
You may cancel auto-renewal at any time. Depending on your purchase channel:
Cancellation takes effect immediately. A confirmation will be sent.
Your subscription remains active until the end of the current billing period. No further charges will be made. Account data is retained for 90 days after cancellation, then deleted per the Privacy Policy.
Due to the intangible nature of our digital service, subscription fees are generally non-refundable, except as follows.
If you believe a charge is in error, please contact us at 506343891@qq.com before initiating a dispute with any platform store or your bank. We commit to responding within 2 business days and resolving confirmed billing errors within 5 business days.
9.1 Output Ownership. Subject to these Terms, AI-generated content derived from your input ("Output") belongs to you. You may use Output for any lawful purpose permitted under Section 10.
9.2 Input License. By submitting content to the Service ("Input"), you grant NorthCity a limited, non-exclusive license solely to provide the Service to you. We will not use your Input to train AI models without your explicit consent.
9.3 Third-Party AI Model Dependency. The Service uses third-party AI models from ByteDance (Doubao AI), OpenAI L.L.C., and Alibaba Cloud (Tongyi Qianwen). Output may be influenced by these providers' models. We do not guarantee specific output quality and are not liable for content generated by third-party models.
9.4 AI Output Accuracy. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying Output before relying on it.
10.1 Permitted Uses. You may use the Service only for lawful purposes consistent with these Terms, including personal productivity, learning assistance, and creative recording.

Your use of the Service is governed by our Privacy Policy, available at https://www.northcity.top/ideasnap-privacy-policy/. Platform payments are processed respectively by Apple App Store, Google Play, or Waffo Pancake (pancake.waffo.ai, PCI-DSS compliant); we do not directly store payment card data. Account data is retained for 90 days after cancellation, then deleted.
12.1 Disclaimer. The Service is provided "as is" and "as available" without any express or implied warranties, including merchantability, fitness for a particular purpose, or AI output accuracy.
12.2 AI Content Disclaimer. ⚠️ AI output from the Service may be inaccurate, incomplete, or outdated. Do not rely on it for legal, medical, financial, or other professional advice. Always verify with qualified professionals before acting on AI-generated content.
12.3 Limitation of Liability. To the maximum extent permitted by applicable law, NorthCity shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
These Terms remain effective while you use the Service. We may suspend or terminate your account for material breach, suspected fraud, or as required by law. If we terminate for reasons other than your breach, we will provide a pro-rata refund of any prepaid unused portion. You may delete your account at any time by contacting 506343891@qq.com.
These Terms are governed by the laws of the People's Republic of China. Before initiating formal proceedings, please attempt informal resolution by contacting 506343891@qq.com. Disputes that cannot be resolved through negotiation shall be submitted to the competent people's court in Shanghai.
We may update these Terms at any time. Material changes will be notified via in-app notice or email at least 14 days before the effective date. Continued use constitutes acceptance. If any provision is held invalid, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and NorthCity.
